We are a web development and SEO studio. Client work is governed by a written scope, flat fees unless agreed otherwise, and clear ownership transfer after final payment.
These terms also cover basic use of rustyharborseo.com: do not misuse the site, do not send unlawful material, and do not treat SEO work as a guaranteed ranking promise.
These Terms of Service apply to rustyharborseo.com and to proposals, scope sheets, care plans, audits, website builds, SEO programs, and related services provided by Rusty Harbor LLC. By using the site, contacting us, or signing a scope sheet, you agree to the terms that apply to that activity.
Browsing the site is simple. Client work starts only when we both agree to a written scope, price, and schedule.
Rusty Harbor provides website design and development, technical SEO, local SEO, content strategy, audits, migrations, analytics setup, accessibility and performance improvements, and website care or maintenance. Specific deliverables are listed in the signed scope sheet, proposal, statement of work, or order form.
This public website is a marketing and contact site. It does not create user accounts, process card payments, host client portals, or let visitors upload public content.
A project begins only when both sides approve a written scope sheet or equivalent written agreement. If these website terms conflict with a signed scope sheet, master services agreement, or data processing addendum, the signed document controls for that engagement.
Estimates and timelines assume timely client feedback, access to required accounts, accurate materials, and clear decision-making. We will identify important assumptions in the scope where we can.
Unless the scope says otherwise, project fees are fixed fees, not hourly billing. We normally invoice 50% to reserve the work and 50% at launch or delivery. Care plans and retainers are billed monthly in advance. Invoices are due within 15 days.
Fees do not include taxes, hosting, domain registration, paid fonts, stock media, premium plugins, advertising spend, or other third-party costs unless the scope says they are included. Those costs are either paid by you directly or passed through at cost.
We may pause work, deployment, or support while an invoice is overdue. Invoices more than 30 days late may accrue the lower of 1.5% per month or the maximum amount allowed by law.
If you request work outside the agreed scope, we will quote the change before starting it. A change can affect the fee, timeline, launch date, or support commitments. We do not silently fold new work into old pricing.
We will use commercially reasonable efforts to meet agreed milestones. If we are waiting on decisions, access, content, payment, or other client dependencies, the schedule moves by at least the amount of the delay. Unless the scope says otherwise, designs and copy include two rounds of reasonable revisions.
After final payment, you own the final custom code, final custom design, and final copy we created specifically for your project, except for items described below.
We and our licensors keep ownership of pre-existing tools, snippets, know-how, templates, open-source packages, third-party services, fonts, stock media, and generic methods. You receive the licenses necessary to use the delivered project as intended.
We may describe or display completed work in our portfolio unless the scope, NDA, or a later written request says not to. We will not publish confidential client information without permission.
SEO, accessibility, performance, and conversion work depends on search engines, competitors, hosting, content quality, budgets, third-party platforms, and market behavior. We do not guarantee rankings, revenue, traffic, leads, Core Web Vitals, ad approvals, or any specific business outcome unless a scope expressly says so.
Each side will protect non-public information received from the other side and use it only for the engagement. Standard exceptions apply for information that is public, independently developed, already known, or required to be disclosed by law.
We use reasonable safeguards for client access and credentials, but you remain responsible for your own accounts, users, billing, backups, and vendor settings unless the scope assigns those tasks to us. Our public security posture is described on the Trust & Security page.
The public website is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
For paid engagements, each party's total liability is capped at the fees paid to Rusty Harbor for the affected engagement during the 12 months before the claim. For website visitors who are not clients, our total liability is capped at USD $100. Neither side is liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages, except where the law does not allow that limit.
Neither side is responsible for delay or failure caused by events beyond reasonable control, including outages, natural disasters, war, labor disputes, government actions, pandemics, or failures of third-party providers.
Either side may end an engagement in writing unless the scope says otherwise. You pay for approved work completed and non-cancellable expenses through the termination date. We will provide reasonable handoff materials for paid work, and care plans end at the close of the current paid period unless the scope says otherwise.
Before filing a formal claim, each side agrees to give written notice and try in good faith to resolve the issue for 30 days. These terms are governed by Wyoming law, excluding conflict of law rules. Courts located in Wyoming have exclusive jurisdiction for disputes that cannot be resolved informally, unless a signed agreement states a different process.
